Contingent attorneys’ fees. – Free Online Library

A recent decision (Coady, 9th Cir., 6/14/00) is heating up the battle over whether a taxpayer may exclude from gross income the portion of proceeds received from a settlement and retained by his attorney pursuant to a contingent fee arrangement. In Coady, the Ninth Circuit held that the taxpayer could not; siding with the IRS, the court rejected the taxpayer’s argument that an effective assignment of income had been made.

In Coady, the taxpayer received a judgment in a wrongful termination suit and paid her attorney a percentage of it pursuant to a contingent fee arrangement. The taxpayers, relying on Cotnam, 263 F2d 119 (5th Cir. 1959), contended they were entitled to exclude the attorneys’ fees because that portion of their settlement was assigned to counsel. In Cotnam, the taxpayer entered into a contingent fee arrangement to pay her attorney 40% of any amount recovered on a claim prosecuted on her behalf. The Fifth Circuit excluded the attorneys’ fees from Cotnam’s gross income, holding that, under Alabama law, an attorney has an equitable assignment or lien, enabling the attorney to obtain an equity interest in the cause of action to the extent of the contracted fee. It was also noted that, in Cotnam, the value of the lawsuit was entirely speculative and dependent on the attorney’s services. In Coady, however, the court noted that, under Alaska law, attorneys do not have a superior lien or ownership interest in their clients’ suits, judgments or decrees. The court concluded that the taxpayer retained all proprietary rights in the claim and simply used a portion of the award, on receipt, to discharge her personal liability owed to the attorneys. Accordingly, the entire award, including the contingency fee, was includible in gross income, and the attorneys’ fees and litigation costs were deductible as a miscellaneous itemized deduction (subject to the two-percent limit, as well as the overall phaseout of itemized deductions based on adjusted gross income).

There is a split of authority among the Federal courts on this issue. In Estate of Clarks, 202 F3d 854 (2000), the Sixth Circuit, mirroring Cotnam, concluded that, under Michigan law, the contingent fee paid an attorney https://youtube.com/watch?v=rwfxtLg6ZUk/ should not be included in the taxpayer’s gross income, as the agreement operated as a lien on the portion of the judgment transferred to the taxpayer’s attorney. Emphasizing that the taxpayer’s claim was speculative and dependent on the services of counsel, the court also reasoned the taxpayer neither earned nor received the money, but rather it was earned by the attorney as a result of his own personal skill and judgment. Two other recent cases (Srivastava, 5th Cir., 7/21/00, and Barlow Davis, 210 F3d 1347 (11th Cir. 2000) (which is bound by the decisions of the former Fifth Circuit)), have followed the Cotnam decision.

In contrast, in Baylin, 43 F3d 1451 (1995), the Federal Circuit held a taxpayer could not exclude from income contingent fees paid directly to the attorney by the court. The court noted the taxpayer received the https://www.rocketlawyer.com/legal-advice.rl benefit of the proceeds, even though he did not take possession of the funds. In Kenseth, 114 TC No. 26, the Tax Court also held settlement proceeds paid under a contingent fee arrangement includible in the taxpayer’s gross income and deductible as an itemized miscellaneous deduction. The court cited the assignment-of-income doctrine, reasoning that the taxpayer retained sufficient control over the transferred income to justify holding him liable for taxes on the income. The characterization of the contingent fees as an itemized deduction caused an alternative minimum tax (AMT) liability, due to the disallowance of the miscellaneous itemized deduction for AMT purposes. The court declined to depart from Congress’s imposition of the AMT and limits on itemized deductions, noting the additional tax burden.

In light of this continuing controversy, when advising taxpayers involved in settlements with contingent fee arrangements, tax professionals should keep in mind that the total settlement proceeds (rather than just the net proceeds received) may have to be included in income. This may result in a substantially greater tax liability than the taxpayer might anticipate based on the net proceeds actually received.

Some of these you might not have heard of as they cover very specific areas of the law, but it’s just this specificity that makes the content so cogent and engaging — really showcasing the lawyers’ expertise in their fields, so much so that they are fun to read even if you don’t have interest in that area of the law. 1. The Art Law Report, by Sullivan and Worcester, edited by Nicholas M. O’Donnell

Spurred by the discovery of a trove of Nazi-looted art in Munich, this blog was on a roll in 2014, covering all the recent developments in the situation. Offering insight on that story and more, the blog — as good as niche-oriented publications come — examines all the legal angles associated with art, from ownership to intellectual property to the First Amendment.

Trump transition lawyer: Mueller improperly obtained documents in Russia probe

Exclusive– A lawyer for the Trump presidential transition team is accusing Special Counsel Robert Mueller’s office of inappropriately obtaining transition documents as part of its Russia probe, including confidential attorney-client communications, privileged communications and thousands of emails without their knowledge.

In a letter obtained by Fox News and sent to House and Senate committees on Saturday, the transition team’s attorney alleges “unlawful conduct” by the career staff at the General Services Administration (GSA) in handing over transition documents to the special counsel’s office.

Kory Langhofer, the counsel to Trump for America (TFA), argues the GSA “did not own or control the records in question” and the release of documents could be a violation of the Fourth Amendment – which protects against unreasonable searches and seizures.

Langhofer wrote in Saturday’s letter that the GSA handed over “tens of thousands of emails” to Mueller’s probe without “any notice” to the transition.

The attorney said they discovered the “unauthorized disclosures” by the GSA on Dec. 12 and 13 and raised concerns with the special counsel’s office. The Associated Press reported that the GSA turned over a flash drive containing tens of thousands of records on Sept. 1 after receiving requests from Mueller’s office in late August.

Those records included emails sent and received by 13 senior Trump transition officials. Among the officials who used transition email accounts was former national security adviser Michael Flynn, who pleaded guilty to a count of making false statements to FBI agents in January and is now cooperating with Mueller’s investigation.

“We understand that the special counsel’s office has subsequently made extensive use of the materials it obtained from the GSA, including materials that are susceptible to privilege claims,” Langhofer wrote. He added that some of the records obtained by the special counsel’s office from the GSA “have been leaked to the press by unknown persons.”

The transition attorney said the special counsel’s office also received laptops, cell phones and at least one iPad from the GSA.

Trump for America is the nonprofit organization that facilitated the transition between former President Barack Obama to President Trump.

The GSA, an agency of the United States government, provided the transition team with office space and hosted its email servers.

“When we have obtained emails in the course of our ongoing criminal investigation, we have secured either the account owner’s consent or appropriate criminal process,” Peter Carr, spokesman for the special counsel’s office, told Fox News.

In an interview with BuzzFeed News Saturday evening, GSA Deputy Counsel Lenny Loewentritt denied Langhofer’s claim that then-GSA General Counsel Richard Beckler had promised that any requests for transition team records would be “routed to legal counsel for [Trump for America].”

“Beckler never made that commitment,” said Loewentritt, who added that transition team members were warned that information “would not https://youtube.com/watch?v=rwfxtLg6ZUk be held back in any law enforcement” investigation and that “no expectation of privacy can be assumed.” (Longhofer’s letter notes that Beckler “was hospitalized and incapacitated in August.” He died the following month.)

Loewentritt also told BuzzFeed that the GSA suggested that Mueller’s team issue a warrant or subpoena for the transition team materials, but the special prosecutor’s office decided a letter requesting the materials would suffice.

“We continue to cooperate fully with the special counsel and expect this process to wrap up soon,” Sarah Sanders, the White House press secretary, said Saturday.

In his letter, Langhofer argued the GSA’s actions “impair the ability of future presidential transition teams to candidly discuss policy and internal matters that benefit the country as a whole.”

Langhofer requests in the letter that Congress “act immediately to protect future presidential transitions from having their private records misappropriated by government agencies, particularly in the context of sensitive investigations intersecting with political motives.”

The letter was sent to the Senate Homeland Security and House Oversight Committees.

The committees did not immediately return a request for comment.
